Terms of Service

These Terms govern access to and use of the INDBridge platform. For customers, a signed Master Services Agreement (MSA) and its order forms govern the commercial relationship and prevail over these Terms to the extent of any conflict.

1. Agreement to these Terms

By accessing or using INDBridge, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the service.

2. The service

INDBridge is software that helps regulatory teams prepare, assemble, and manage FDA Investigational New Drug (IND) submissions — including AI-assisted drafting of CMC, nonclinical, clinical, and eCTD content, electronic-signature gates, and a tamper-evident audit trail.

3. Regulated-software disclaimer (please read)

  • INDBridge is a software platform. It is not a law firm, a regulatory consultant, or a medical advisor, and it does not provide legal, medical, or regulatory advice.
  • INDBridge is not the sponsor of record. The customer (or its designated sponsor) remains solely responsible for the accuracy, completeness, review, approval, and submission of all regulatory content, and for compliance with FDA regulations and applicable law.
  • AI-generated artifacts are drafts. They must be reviewed and approved by qualified humans at each human-in-the-loop gate before use. No agent submits anything to the FDA without an explicit, signed release.
  • Nothing in the service guarantees that any submission will be accepted by the FDA or any authority, or that any particular regulatory outcome will be achieved.

4. Eligibility and accounts

You must be authorized to act for your organization. You are responsible for your account, for safeguarding credentials and second-factor devices, and for all activity under your account. Notify us promptly of any unauthorized use.

5. Acceptable use

You agree not to misuse the service, including by attempting to:

  • access data or tenants you are not authorized to access;
  • probe, scan, or breach security or authentication measures except under an authorized testing agreement;
  • submit unlawful, infringing, or knowingly false regulatory content; or
  • interfere with, overload, or disrupt the service or its infrastructure.

6. Customer data and privacy

As between the parties, the customer owns its data. We process personal data as described in our Privacy Policy and, where applicable, the DPA/BAA. The customer is responsible for the lawfulness of the data it provides and for obtaining any required consents.

7. Intellectual property

Q BRIDGE retains all rights in the INDBridge platform, software, and brand. The customer retains all rights in its own content. We grant a limited, non-exclusive, non-transferable right to use the service during the term, per the MSA.

8. Commercial terms

Fees, subscription scope, service levels, and support are set out in the applicable order form and MSA. This public site does not by itself create a paid subscription.

9. Confidentiality

Each party will protect the other's confidential information and use it only to perform under the agreement, as further described in the MSA.

10. Disclaimers

Except as expressly stated in a signed agreement, the service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any regulatory submission will be accepted.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Each party's aggregate liability is limited as set out in the MSA. Nothing limits liability that cannot be limited by law.

12. Term and termination

These Terms apply while you use the service. Platform subscriptions begin and end per the MSA. We may suspend access for a material breach or a security risk. Provisions that by their nature should survive termination will survive.

13. Governing law and disputes

Governing law, venue, and dispute-resolution procedures are set out in your MSA. Absent a signed MSA, use of this public site is governed by applicable law as stated in the MSA template available on request. We will work in good faith to resolve disputes before formal proceedings.
